With reference to the intimation of the Outcome of Board Meeting held on March 20, 2023, filed with the Stock Exchanges by us on March 20, 2023 Subsequent to the intimation, it came to Company notice that one of members of the Promoter Group namely Mr. Gutta Sairam Prasad has sold an aggregate of 1,000 equity shares of the company, (representing 0.0055% of the paid up capital) on March 21, 2023 and March 22, 2023. In terms of Regulation 159 of SEBI (ICDR) Regulations, 2018, this renders the entire Promoter(s) Promoter Group ineligible to subscribe for the warrants proposed to be issued in terms of the intimation. A Board Meeting has been convened on Thursday, April 06, 2023 to consider the course of action. The proposed preferential issue of equity shares and warrants is therefore kept on hold pending a fresh decision of the Board on the matter.
